Effective Date: 2 September 2026
1. Introduction and acceptance of terms
These Terms of Service govern the provision of services by Northbridge Production Services Ltd, a production services business operating from Northbridge Production, 24 Bridgewater Road, Wembley, London HA0 1EH, UK (referred to in these Terms as “we”, “us”, “our”, or “Northbridge Production Services Ltd”).
By requesting, commissioning, booking, or otherwise using any of our services, you (“Client”, “you”, or “your”) acknowledge that you have read, understood, and agree to be bound by these Terms, together with any proposal, statement of work, quotation, order form, or written agreement that references them. If you do not agree to these Terms, you must not use our services.
2. Scope of services
Northbridge Production Services Ltd provides production coordination and related support services, which may include, without limitation:
- Print production management;
- Video and content production coordination;
- Event production support;
- Set and display build supervision;
- Promotional merchandise sourcing and fulfilment;
- Post-production scheduling and delivery; and
- Supplier and vendor management.
Our services are provided on a project basis, subject to availability, scope, technical feasibility, third-party dependencies, and any specific terms agreed in writing. Unless expressly agreed otherwise in writing, we do not guarantee specific outcomes, timelines, delivery dates, supplier performance, or commercial results.
Any estimates, schedules, or deliverables are based on information provided by the Client and may be affected by changes in requirements, approvals, supplier lead times, production constraints, or circumstances beyond our control.
3. User obligations and responsibilities
You agree to:
- Provide accurate, complete, and timely information necessary for us to perform the services;
- Promptly review and approve materials, proofs, schedules, estimates, and instructions;
- Ensure that all content, artwork, specifications, branding assets, and other materials supplied by you do not infringe any third-party rights and comply with applicable laws;
- Obtain all necessary permissions, consents, licences, and releases for content, locations, talent, music, trademarks, images, and other materials provided or requested by you;
- Co-operate with us and third-party suppliers in a timely manner;
- Pay all invoices and approved expenses when due;
- Not misuse our services, systems, or communications; and
- Notify us promptly of any errors, defects, concerns, or changes in requirements.
You are responsible for final approval of all deliverables, production materials, and supplier outputs unless otherwise agreed in writing. We are not responsible for delays, defects, or losses caused by inaccurate instructions, late approvals, or failure by the Client or third parties to perform their obligations.
You must not use our services for unlawful, defamatory, offensive, fraudulent, or misleading purposes, or in any manner that would expose Northbridge Production Services Ltd to legal or reputational harm.
4. Payment terms and conditions
Fees for our services will be set out in the relevant quotation, proposal, or statement of work. Unless otherwise stated:
- All fees are exclusive of VAT and any other applicable taxes, which will be added where required by law;
- Invoices are payable within 14 days of the invoice date;
- We may require a deposit, upfront payment, or milestone payments before commencing or continuing work;
- Any third-party costs, supplier charges, shipping, courier, travel, accommodation, storage, handling, customs, or urgent fees may be charged in addition to our service fees;
- Estimates are subject to change if the scope, specifications, timing, or supplier costs change;
- Overdue amounts may incur interest at the maximum rate permitted by applicable law, together with reasonable recovery costs;
- We may suspend services, withhold deliverables, or pause supplier activity if invoices remain unpaid.
If the Client disputes an invoice, the undisputed portion must still be paid on time, and the Client must notify us in writing of the disputed amount and reasons within 7 days of receipt of the invoice. Failure to do so may be treated as acceptance of the invoice.
5. Cancellation and refund policy
Because our services often involve advance planning, supplier commitments, and non-refundable production costs, cancellations may result in charges. Unless otherwise agreed in writing:
- Deposits are non-refundable once work has commenced or third-party costs have been incurred;
- If you cancel after we have started work, you must pay for all work completed up to the date of cancellation, together with any committed expenses and cancellation charges from suppliers;
- Where a project is postponed rather than cancelled, we may treat the postponement as a cancellation for costing purposes and re-quote the work;
- Refunds, if any, will be made only where we are required to do so by law or where expressly stated in writing;
- No refund will be due for work already performed, planning time, admin time, procurement time, or fees paid to third parties on your behalf.
Any request to cancel must be made in writing. We will use reasonable efforts to minimise cancellation costs, but you remain responsible for all unavoidable charges and commitments made in reliance on your instructions.
6. Liability limitations
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
Subject to the foregoing, Northbridge Production Services Ltd shall not be liable for:
- Loss of profit, revenue, business, goodwill, or anticipated savings;
- Indirect, consequential, or special losses;
- Loss or corruption of data;
- Delays caused by suppliers, transport providers, venues, production facilities, couriers, or other third parties;
- Any errors, omissions, or defects in materials approved by the Client;
- Any inability to perform services due to inaccurate instructions, late approvals, or failure to supply required information.
To the fullest extent permitted by law, our total aggregate liability arising out of or in connection with any service, contract, or claim shall be limited to the total fees paid by the Client to Northbridge Production Services Ltd for the specific services giving rise to the claim in the 3 months preceding the event giving rise to liability, or such other amount as may be required by law.
You acknowledge that production services may involve inherent risks, including damage, loss, transit issues, site restrictions, and third-party performance issues. You agree that we are not responsible for such matters except to the extent directly caused by our proven gross negligence or wilful misconduct, where liability cannot lawfully be excluded.
7. Intellectual property rights
Unless otherwise agreed in writing, all pre-existing intellectual property, methodologies, templates, know-how, processes, and working materials owned or developed by Northbridge Production Services Ltd remain our property.
Subject to full payment of all amounts due, we grant the Client a non-exclusive, non-transferable licence to use any deliverables created specifically for the Client to the extent necessary for the intended project purpose, unless a broader assignment or licence is agreed in writing.
The Client warrants that any materials supplied to us for use in a project are either owned by the Client or lawfully licensed for the intended use and that such use will not infringe any intellectual property, moral rights, privacy rights, publicity rights, or other third-party rights.
We may retain copies of project materials, working files, and completed deliverables for archival, compliance, and portfolio-reference purposes, subject to confidentiality obligations and any applicable privacy laws. Any use of deliverables in our marketing or portfolio materials will only be done where permitted by law and, where appropriate, with the Client’s prior consent.
8. Data protection and privacy
We process personal data in connection with enquiries, quotations, projects, supplier coordination, invoicing, communication, and compliance. We will handle personal data in accordance with applicable data protection and privacy laws and our internal privacy practices.
Where we act as a data processor on behalf of the Client, the Client remains responsible for ensuring that it has a lawful basis for processing personal data and for providing any required notices or consents. Where we act as a data controller, we will determine the purposes and means of processing in line with applicable law.
We may share personal data with trusted third-party suppliers, subcontractors, couriers, production facilities, and service providers where reasonably necessary to deliver the services or administer the contractual relationship. We will take reasonable steps to ensure such parties process data securely and lawfully.
The Client is responsible for ensuring that any personal data it provides to us has been collected and shared lawfully and that any required permissions are in place, especially in relation to event attendees, talent, crew, content subjects, and promotional communications.

9. Force majeure
We shall not be liable for any delay or failure to perform our obligations where such delay or failure results from events beyond our reasonable control, including but not limited to:
- Natural disasters, fire, flood, storm, or extreme weather;
- War, terrorism, civil unrest, riot, or public disorder;
- Labour disputes, strikes, or industrial action;
- Transport disruptions, supply chain failures, or courier delays;
- Equipment failure, power outages, telecommunications failures, or cyber incidents;
- Government action, legal restrictions, embargoes, or emergency regulations;
- Illness, accident, or unavailability of key personnel or third-party suppliers;
- Any similar event beyond our reasonable control.
If a force majeure event occurs, we may suspend performance, extend deadlines, adjust schedules, or terminate the affected services if continued performance becomes impracticable. We will use reasonable efforts to mitigate the impact of the event.
10. Changes to terms
We may update or modify these Terms from time to time to reflect changes in our services, business practices, legal requirements, or operational needs. The updated version will take effect upon publication or on any later date stated in the revised Terms.
Where reasonably practicable, we will give notice of material changes. Your continued use of our services after the effective date of any updated Terms constitutes acceptance of the revised Terms. If you do not agree to any change, you should stop using our services and notify us in writing.
11. Applicable law and jurisdiction
These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or formation shall be governed by and construed in accordance with the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction over any dispute or claim arising out of or in connection with these Terms, except where applicable law requires otherwise.
